The Executive Committee has called an Extraordinary General Meeting of members to consider a proposal to change the legal form of the Club. Members are invited to gather at The Killeshin Hotel, Portlaoise, from 09:30 on Saturday 27 August 2022 with the meeting starting promptly at 10:00.

Why should we change?

Members now have unlimited personal liability.

Liability for Club actions falls completely on every single Club member. That means that if during a Club event another member’s action gives rise to a claim (a car collision or anything else) YOU are personally liable for the entire claim even though you had nothing to do with it—just because you were a member at the time.

 

What should we do?

The Committee recommends by unanimous vote that the Club form a private company limited by guarantee (‘CLG’) and transfer all members and Club property to the CLG. A CLG would limit the liability of each member to the guarantee amount, just €1.00 per member. An Irish government white paper ‘strongly recommended that Community and Voluntary organisations [register] as companies limited by guarantee’ because ‘it secures the benefit of separate legal personality and of limited liability’.

The only matter to be considered at the Extraordinary General Meeting is whether the members of the Club authorise the Executive Committee to execute its unanimous recommendation to limit the liability of members to €1.00 by making the Club a CLG. Associate Members are welcome to attend the meeting, but only Full and Honorary Members may vote.
